Terms of Service

Please read these Terms of Service carefully before using the Major Sales platform. These Terms constitute a legally binding agreement between you and Major Sales Inc. governing your access to and use of our Services, including any third-party integrations such as Google Workspace and WhatsApp Business.

1. Acceptance of Terms

By accessing or using the Major Sales platform and website at majorsales.id (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Major Sales provides an AI-powered CRM platform designed to help sales, marketing, and customer success teams automate lead scoring, follow-ups, and deal tracking. The platform may include integrations with third-party services including Google Workspace (Gmail, Calendar, Contacts) and the WhatsApp Business Platform. Features and functionality may change over time. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at support@majorsales.id if you suspect unauthorized access.

4. Subscription and Billing

Access to the platform requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis depending on your plan. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

5. Acceptable Use

You agree not to use the Services to: violate any applicable law or regulation; transmit spam or unsolicited communications; upload malicious code or interfere with the platform's infrastructure; attempt to gain unauthorized access to other accounts or systems; scrape or harvest data without our written permission; or resell or sublicense the Services without authorization. When using messaging features, you must not send messages to individuals who have not provided their explicit opt-in consent. You are solely responsible for ensuring all outbound communications comply with applicable anti-spam and consumer protection laws.

6. WhatsApp Business API Usage

The platform's WhatsApp integration is powered by the WhatsApp Business Platform operated by Meta Platforms, Inc. By enabling this integration, you agree to comply with: • Meta's Business Policy (facebook.com/business_policy_redirect) • WhatsApp Business Terms of Service • WhatsApp Commerce Policy • All applicable local laws governing commercial messaging Your responsibilities when using the WhatsApp integration: • You must obtain clear, documented opt-in consent from every end-user before sending them WhatsApp messages through the platform. Opt-in must be voluntary, specific, and informed. • You must provide an easy opt-out mechanism in every message thread and immediately cease messaging any user who opts out. • You must not send prohibited content including spam, misinformation, illegal goods/services, or content that violates Meta's policies. • You must use only approved WhatsApp Message Templates for outbound notifications and promotional messages, as required by Meta. • You acknowledge that Meta may suspend or revoke WhatsApp Business API access if your messaging practices violate their policies, and that such suspension is outside Major Sales' control. • You bear full responsibility for the content of messages sent through the integration and any liability arising from non-compliant messaging.

7. Google Workspace Integration

The platform's Google integration allows you to connect Gmail, Google Contacts, and Google Calendar via OAuth 2.0. By enabling this integration, you agree to comply with Google's Terms of Service, the Google API Services Terms of Service, and any applicable Google Workspace policies. • You authorize Major Sales to access your Google account data (emails, contacts, calendar events) solely to provide the CRM features you have enabled. • You must ensure that your use of the integration complies with any applicable data protection and employment laws governing employee email and calendar data within your organization. • Our access and use of Google user data complies with the Google API Services User Data Policy, including Limited Use restrictions. Details are described in our Privacy Policy. • You may revoke our Google access at any time. Doing so will disable Google-dependent features in the platform. • You must not use the Google integration to access data from accounts you are not authorized to access, including accounts of individuals who have not consented.

8. Intellectual Property

All content, features, and functionality of the Services — including software, text, graphics, logos, and trademarks — are owned by Major Sales Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.

9. Your Data

You retain ownership of all data you upload or input into the platform ("Customer Data"). By using the Services, you grant Major Sales a limited license to process your Customer Data solely to provide and improve the Services. We will not sell your Customer Data to third parties. Our handling of personal data is governed by our Privacy Policy.

10. International Use & Compliance

The Services are accessible globally. You are responsible for ensuring that your use of the Services complies with all laws and regulations applicable in your jurisdiction, including but not limited to: • Indonesia: UU No. 27 Tahun 2022 tentang Pelindungan Data Pribadi (PDP Law); Electronic Information and Transactions Law (ITE Law); OJK regulations where applicable. • European Union / EEA: General Data Protection Regulation (GDPR); ePrivacy Directive. • United States: CAN-SPAM Act; Telephone Consumer Protection Act (TCPA); California Consumer Privacy Act (CCPA/CPRA) and state equivalents. • Other jurisdictions: PDPA (Thailand), PDPA (Singapore), LGPD (Brazil), POPIA (South Africa), CASL (Canada), and any other applicable personal data or consumer protection laws in your region. Where you act as a data controller with respect to personal data processed through the platform, you acknowledge your obligations under applicable law and represent that you have a lawful basis for processing such data. Upon request, we will enter into a Data Processing Agreement (DPA) with you as required by GDPR or equivalent regulation.

11. Confidentiality

Each party agrees to keep the other's confidential information (including pricing, business processes, and technical details) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.

12. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. Major Sales does not warrant that the Services will be uninterrupted, error-free, or completely secure. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law. We do not guarantee the availability or uptime of third-party integrations including the WhatsApp Business Platform or Google Workspace APIs. Disruptions to those services are outside our control.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Major Sales shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services. Our total liability to you for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for any fines, penalties, or damages arising from your failure to comply with Meta's WhatsApp Business policies, Google's API usage policies, or any applicable data protection law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Major Sales Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Services, violation of these Terms, non-compliant use of the WhatsApp or Google integrations, or infringement of any third-party rights.

15. Termination

Either party may terminate these Terms at any time. You may cancel your account through the platform settings. We may terminate or suspend your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases and we may delete your account data in accordance with our data retention policy.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Jakarta, Indonesia, except where mandatory local law requires otherwise.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through an in-app notice at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
